| The Chairman is a full time employee of the Trust
and is appointed by and serves at the discretion of the Trustees, who also
fix the compensation and other terms of employment of this position. |

All management and
policy making authority is lodged in the Trustees except for those specific
items of authority delegated by the Declaration of Trust and Trustees to
the Chairman and others. The Declaration of Trust and the Trustees have
assigned to the Chairman the authority to operate the Trust on a day to
day basis, including, but not limited to, the responsibility to collect
and account for employer contributions and to bring suit against delinquent
employers; the duty to receive and process all benefit applications and
to make all determinations concerning same; the authority to execute all
documents on behalf of the Trust and the Trustees; and the ability to expend
Trust monies to pay for all legitimate Trust expenses in accordance with
a Budget approved by the Trustees. |
The Chairman also
has the authority and responsibility to employ on behalf of the Trust those
numbers and types of employees the Chairman believes are necessary to efficiently
operate the Trust. The Chairman has the authority, within parameters set
by the Trustees, to fix the compensation and conditions of employment of
said employees. The non-supervisory employees of the Trust, however, are
represented for the purpose of collective bargaining by OPEIU Local 32
and a collective bargaining agreement exists between the Trust and the
OPEIU establishing the compensation and other conditions of employment
for these employees. The Chairman has the authority to bargain for and
enter into collective bargaining
agreements on behalf
of the Trust and the Trustees. |
